Microsoft, Goldman Sachs, Alphabet fight tokenized stocks as WSJ ad ignites clash with crypto

Crypto executives are challenging a Wall Street Journal advertisement warning about tokenized stocks, arguing that regulated blockchain-based securities should not be confused with synthetic products traded outside traditional market safeguards.

Microsoft, Goldman Sachs and Alphabet fight tokenized stocks as WSJ ad ignites clash with crypto

A full-page Wall Street Journal ad urging companies to block tokenized versions of their shares has split Wall Street and crypto, with Securitize CEO Carlos Domingo calling it “misleading” as Microsoft, Alphabet and Goldman Sachs object to being listed on OKX-ICE.

The WSJ advertisement puts tokenization risks in the spotlight

A full-page advertisement published in the October 24–25 weekend edition of The Wall Street Journal has drawn criticism from crypto industry executives after warning publicly traded companies about the potential consequences of tokenizing their shares.

The advertisement was financed by the Common Sense Leadership Fund, a US nonprofit civic organization. Addressing corporate executives, the campaign urged companies to resist having their stocks represented by blockchain-based tokens on trading platforms without their approval.

Its central argument was that tokenization could expose companies and investors to risks involving market stability, transparency and legal accountability.

The campaign highlighted several concerns, including differences between token prices and underlying stock prices, uncertainty over beneficial ownership, cybersecurity vulnerabilities, market manipulation and potential weaknesses in anti-money-laundering and know-your-customer procedures.

It also warned that companies could face difficulties raising capital if trading activity shifted away from conventional stock markets toward tokenized alternatives.

Investor protection was another central issue, particularly where digital tokens might not provide the same ownership rights as traditional shares.

These concerns have gained prominence as crypto exchanges and financial technology firms explore ways to bring equities onto blockchain networks.

Tokenization can allow digital tokens to represent ownership interests or economic exposure to assets, potentially enabling faster settlement and trading outside conventional market hours.

Crypto executives challenge how tokenization risks are portrayed

Carlos Domingo, chief executive of tokenization company Securitize, disputed the advertisement’s presentation of the technology, arguing that it fails to distinguish between tokenization itself and the structures through which digital assets are issued and traded.

Domingo described the advertisement as “misleading,” saying it “mixes tokenization with how it is done and where those tokens trade.”

His criticism centres on the difference between properly structured digital securities operating within applicable US regulatory requirements and offshore synthetic products that replicate a stock’s financial performance without transferring ownership of the underlying shares.

According to Domingo, investors and corporate issuers should not assume that every blockchain-based stock product operates under the same rules. The legal structure, trading venue and protections available to holders can materially affect the risks involved.

He also expressed confidence in the commercial outlook for compliant tokenization services, stating that he sees this as a tailwind for companies like ours doing it the right way, which was never easy, but it’s a durable long-term business model.

His comments underline an important point for crypto investors: tokenization is not a single financial product with a uniform risk profile. A token representing legally recognised securities may offer different rights and protections from a derivative that merely tracks a stock’s price.

Corporate resistance adds pressure to the tokenized stock market

The dispute comes as major companies challenge plans to make their shares available through emerging digital securities trading platforms.

Among the businesses reported to have objected to being listed through OKXICE are Microsoft, Alphabet, Goldman Sachs, Qualcomm, Caterpillar, McDonald’s and Western Digital.

OKXICE is a joint venture involving cryptocurrency exchange OKX and Intercontinental Exchange, the parent company of the New York Stock Exchange.

Further objections from companies including Oracle, Intel and IBM were reported on October 27, illustrating the continuing resistance to third-party tokenization of corporate shares.

Tokenization risks are being debated not only as technical questions but also as questions of corporate control, market structure and the responsibilities of exchanges.

What tokenization risks mean for crypto investors

For investors, the debate highlights the need to evaluate tokenized securities on their individual merits rather than treating blockchain-based financial products as interchangeable.

One potential advantage of tokenization is the ability to represent assets digitally and automate parts of the trading and settlement process.

Depending on the structure and regulatory framework, these systems may support broader market access, extended trading hours and more efficient transfers.

However, tokenization risks become particularly significant when investors cannot establish what a token legally represents. A product that tracks a company’s share price may not provide the same ownership rights as a token representing an actual security.

The difference can affect voting, dividend payments, legal recourse and the treatment of investors if an issuer or platform encounters difficulties.

Liquidity is another important consideration. If a tokenized stock trades on a separate venue without effective connections to conventional exchanges, its price could diverge from the underlying share.

Limited trading activity, fragmented order books and differences in market data can complicate price discovery.

Custody and cybersecurity also deserve attention. Investors should understand who controls the tokens, how private keys are protected, what happens if a platform becomes insolvent and whether assets can be recovered following a security incident.

Regulation will shape tokenization’s future

The dispute between crypto executives and the campaign against tokenized stocks reflects a wider debate about how traditional securities markets should adapt to blockchain technology.

Securitize CEO Carlos Domingo argues that regulated tokenization should be distinguished from offshore synthetic products, while the advertisement funded by the Common Sense Leadership Fund emphasises potential threats to ownership transparency, market integrity and investor protection.

Meanwhile, corporate objections to proposed tokenized stock listings show that adoption is not guaranteed, even as financial technology companies pursue new ways to connect digital assets with conventional markets.

The key issue is not simply whether tokenization succeeds. It is whether the market develops transparent products, reliable trading infrastructure and enforceable legal protections.

How regulators, issuers and platforms address these questions will help determine the long-term role of tokenized securities in global finance.
