ZeroStack lands $1B MemeCore token deal as Ripple Prime raises $275M

A wave of crypto financing produced nearly $1.3 billion in disclosed deals this week, although much of the headline figure came from token-based and debt transactions rather than conventional venture capital.

Crypto VC funding reached approximately $1.298 billion across six disclosed transactions between Aug. 16 and Aug. 22, 2026, with two unusually large deals accounting for the overwhelming majority of the total.

ZeroStack generated the biggest headline after agreeing to receive roughly $1 billion worth of MemeCore (M) tokens in exchange for company equity and pre-funded warrants. Ripple Prime, meanwhile, secured $275 million through senior unsecured notes as it expands its U.S. prime brokerage business.

The remaining disclosed transactions included an $11 million raise by AI trading infrastructure company NeoSoul, an $8 million Beldex round focused on privacy infrastructure, a $2.5 million seed round for DeFi credit delegation protocol Twyne and a $1.5 million round for Solana-based infrastructure project Botanika.

That puts this week’s Crypto VC funding figure in perspective: the $1.298 billion headline total includes debt and a noncash token contribution, so it should not be treated as $1.298 billion of traditional venture capital.

ZeroStack’s $1B MemeCore deal dominates the week

ZeroStack announced a definitive agreement under which Puple AI and Blockcat will contribute 925,925,926 MemeCore tokens, valued at $1.08 each, for an aggregate stated value of $1 billion. In return, ZeroStack will issue 3.5 million common shares and pre-funded warrants covering up to about 36.2 million additional shares.

The transaction stands out because ZeroStack is not receiving $1 billion in cash. Instead, the company is adding a large digital-asset position to its balance sheet while issuing equity-linked securities.

The agreed $25.19 share price represented a premium of more than 12 times ZeroStack’s recent market price when the deal was announced. The additional shares covered by the warrants require shareholder approval under Nasdaq rules, while securities issued through the transaction can be subject to lockups lasting as long as 10 years.

ZeroStack CEO Daniel Reis-Faria described the agreement as a defining milestone for the company, saying its objective is to build a publicly traded gateway to next-generation digital infrastructure assets.

Rudy Rong, a MemeCore principal who is expected to become ZeroStack’s president, also said the arrangement could deepen collaboration between the two ecosystems.

The deal illustrates why Crypto VC funding statistics increasingly require investors to examine transaction structure rather than headline dollar values alone.

Ripple Prime adds $275M in institutional debt

Ripple Prime supplied the second major financing event of the week after closing an upsized $275 million private placement of senior unsecured notes on Aug. 18.

Ripple said institutional investors participated in the offering, with proceeds earmarked for working capital and general corporate purposes as its non-bank prime brokerage expands its U.S. operations.

The notes received a BBB investment-grade rating from KBRA, giving the transaction a notable institutional-finance dimension. Piper Sandler acted as lead placement agent.

Noel Kimmel, president of Ripple Prime, said the strong response to the company’s first notes offering demonstrated confidence in its business and long-term strategy. He added that the new capital would allow the firm to invest in its team and technology while expanding its position in digital-asset and traditional financial infrastructure.

The transaction follows Ripple Prime’s earlier $200 million credit facility secured from funds managed by Neuberger Berman in May. Together, the financings give the brokerage significantly more capital to support its expansion, although only the $275 million notes are included in this week’s tally.

For Crypto VC funding watchers, the deal is another sign that mature crypto businesses can increasingly access financing structures associated with conventional financial markets.

AI, privacy and DeFi attract smaller checks

NeoSoul delivered the week’s largest disclosed early-stage cash round, raising $11 million in a pre-Series A financing backed by MH Ventures, Amber Group, ArkStream Capital, 0G Foundation, Kirin Capital, CatcherVC and New Oak International.

The Singapore-based company plans to use the money to develop NeoTrade, its AI-driven trading platform, while expanding infrastructure designed to allow autonomous agents to participate in economic activity. The funding also supports international expansion, including Southeast Asia.

Privacy infrastructure was another major theme. Beldex closed an $8 million round led by Sigma Capital, with participation from NTC, Nxgen, Digital Consensus Fund and EAK Ventures. The company said the funding will support developer tools, privacy applications, protocol security and infrastructure connecting privacy with AI.

Sigma Capital Managing Director and CEO Vineet Budki said AI agents and Web3 applications increasingly require privacy and argued that Beldex is positioned for the next phase of Web3 infrastructure.

Twyne added $2.5 million in seed funding from a round co-led by Cyber Fund and Ethereal Ventures, with Euler and Daedalus among the participants. The protocol focuses on credit delegation, allowing unused borrowing capacity in DeFi lending markets to be redirected toward users who need additional credit.

Botanika also raised $1.5 million, supporting its work on decentralized storage and computing infrastructure that connects physical hardware with on-chain ownership.

Together, those smaller rounds show where Crypto VC funding is concentrating beyond headline-making corporate transactions: AI agents, privacy, capital efficiency and decentralized physical infrastructure.

What the $1.298B total really tells investors

The week’s financing figures reveal a crypto market increasingly connected to multiple forms of capital.

The disclosed transactions totaled approximately $1.298 billion, but the composition matters. ZeroStack’s $1 billion transaction is a token contribution rather than cash financing, while Ripple Prime’s $275 million is debt. Only a much smaller portion of the weekly figure represents conventional equity or venture investment.

An additional strategic financing for Blueprint Finance, led by Polychain Capital with participation from Bullish, Keyrock, BitGo, FalconX and others, was also announced during the period. However, because Blueprint did not disclose the amount, it was excluded from the weekly total. The capital will support Concrete, its institutional on-chain vault infrastructure.

The distinction is important as Crypto VC funding becomes increasingly diverse. Crypto companies are no longer relying exclusively on traditional venture rounds; token contributions, structured equity transactions and institutional debt are becoming part of the financing toolkit.

For investors, that means the headline number tells only part of the story. The more important question is what type of capital was raised, on what terms, and how much fresh liquidity actually reached the operating business.

This week’s Crypto VC funding surge therefore looks less like a simple return of billion-dollar venture checks and more like evidence of a maturing digital-asset financing market—one where venture capital, public markets, token economics and traditional credit increasingly overlap.
