River sues Blockstream Services Canada for $6.7 million as Blockstream Corp says it cut ties with the firm in 2024

River Financial has sued Blockstream Services Canada ULC for about $6.7 million over a terminated commercial agreement, but Blockstream Corp says the defendant has not been part of the company since mid-2024.

The federal filing on Sept. 11 names only the Canadian services business, which kept the Blockstream name under a brand licensing deal.

River lawsuit targets Blockstream services Canada

The River Lawsuit centers on an alleged breach of a termination agreement between River Financial and Blockstream Services Canada ULC.

According to the complaint, River is seeking approximately $3.55 million in prepaid refunds and another $3.15 million in an early-termination payment, bringing the total claim to roughly $6.7 million. The case number is 3:2026cv10252, and the court docket classifies it as a diversity breach-of-contract action. River has also demanded a jury trial.

The filing is important because the legal defendant is specifically identified as Blockstream Services Canada ULC. It does not name Blockstream Corp as a defendant.

That distinction became central to coverage of the River Lawsuit after posts on X described the dispute simply as a lawsuit against Blockstream. The shared branding between the companies made the distinction less obvious in initial reports, although the federal docket identifies the Canadian services company separately.

Blockstream Services Canada was part of the services businesses that, according to Blockstream Corp, were separated from the parent company’s ownership and management in mid-2024.

Blockstream separates parent from River Lawsuit

Blockstream Corp addressed the River Lawsuit on Sept. 26, saying that Blockstream Services USA and Blockstream Services Canada were no longer part of its corporate structure.

The company said the services businesses had been spun out as part of the Blockstream Mining business and subsequently operated independently while retaining the Blockstream name through a licensing agreement.

“Since mid-2024, Blockstream Services USA and Blockstream Services Canada have not been under the ownership, control, or management of Blockstream Corp. The businesses were spun out as part of the Blockstream Mining business and have since operated as separate companies, with no shared equity ownership or management with Blockstream Corp. The timing of that separation has become a notable part of the River Lawsuit discussion. The parent company’s statement places the separation in mid-2024, while the public announcement introducing Blockstream Mining as an independent business came in April 2025.

The result is a dispute involving a company that still carried the Blockstream name after separating from the corporation that built the brand.

That distinction does not determine the merits of River’s contractual allegations. It establishes only which legal entity River named in its complaint and how Blockstream Corp describes its relationship with that entity.

River Lawsuit follows Blockstream Mining spin-out

The River Lawsuit also highlights the complications that can arise when businesses retain a familiar corporate brand after ownership and management structures change.

Blockstream Corp said the U.S. and Canadian services businesses continued operating under the Blockstream name for a limited period through a brand licensing agreement. The public separation of Blockstream Mining was announced in April 2025, with former mining president Chris Cook becoming CEO of the independent business.

The arrangement meant that the name “Blockstream” could continue appearing in connection with the mining operation even though, according to Blockstream Corp, there was no longer shared equity ownership or management.

That branding became particularly relevant once the River Lawsuit became public. Some observers on X criticized the decision to license the name after the corporate separation, while others welcomed Blockstream Corp’s clarification.

“Misleading users by licensing your name to companies for money has a downside. Welcome to that downside,” one X user wrote.

Another user questioned the timing of the disclosure, writing: “Two years later, you felt was the right time to let everyone know?”

The reactions illustrate the distinction between the legal dispute itself and the broader discussion surrounding Blockstream’s corporate branding. The available court record identifies Blockstream Services Canada ULC as the defendant, while Blockstream Corp’s statement addresses its separate corporate status.

River Lawsuit adds to scrutiny around Blockstream

The River Lawsuit arrives during a period of heightened attention on Blockstream Corp following the Liquid Network security incident earlier in September.

According to Blockstream’s Sept. 23 technical assessment, an attacker exploited a vulnerability in Elements’ rangeproof verification cache on Sept. 6, allowing approximately 4,000 unbacked LBTC to be created and subsequently converted through the network’s peg-out mechanism into roughly 4,000 BTC. The attacker later returned 3,400 BTC, leaving approximately 602 BTC outstanding.

Blockstream said it halted Liquid bridge nodes, deployed an emergency patch and released Elements v23.3.4 after further review. The technical report also outlined additional corrective measures, including code reviews, adversarial testing and an expanded bug bounty program.

The security incident and the River Lawsuit are separate matters. The lawsuit concerns an alleged contractual obligation involving Blockstream Services Canada ULC, while the Liquid incident concerns the technical operation and security of the Liquid Network associated with Blockstream Corp.
