Jack Dorsey’s Block sets aside $764 million for DOJ deal over anti-money laundering failures

The Cash App and Square parent company has reached a preliminary agreement with federal prosecutors to resolve an anti-money laundering investigation through a three-year deferred prosecution arrangement.

Block has agreed in principle with the US Justice Department to pay about $764 million to defer, for three years, a charge that it failed to maintain an effective anti-money laundering program, the company said in its quarterly filing on November 3, 2026.

The Jack Dorsey-led payments company has already accrued the amount, but the deal still needs a final agreement and court approval.

Block’s AML charge carries $764 million net payment

Block disclosed the proposed arrangement in its Form 10-Q filed with the U.S. Securities and Exchange Commission (SEC) for the quarter ending September 30, 2026.

According to the filing, the company reached an agreement in principle with the Justice Department in October to resolve allegations that it failed to maintain an effective anti-money laundering program as required by the Bank Secrecy Act.

The proposed deferred prosecution agreement would allow the company to avoid immediate prosecution while meeting specified compliance obligations over a three-year period.

The financial component is expected to total approximately $964 million before accounting for credits linked to earlier regulatory settlements.

Those credits would reduce the company’s anticipated direct payment to approximately $764 million.

In its filing, Block said the agreement would “require a net monetary payment of approximately $764 million based on credit for prior regulatory resolutions.”

The company has already recognized a $764 million accrual for the matter in its financial statements as of September 30.

This accounting treatment reflects Block’s estimate of its financial exposure under the proposed settlement, although it does not mean the payment has already been made.

The AML charge remains subject to final negotiations, and the Justice Department has not yet completed the proposed resolution.

Block also warned that the eventual financial consequences could exceed the amount currently recorded if the settlement terms change.

The distinction is significant because an agreement in principle does not guarantee that the parties will execute a final contract or obtain the necessary judicial approval.

DOJ investigation began after 2023 short-seller allegations

The federal inquiry originated shortly after the publication of a short-seller report in March 2023 that raised concerns about Block’s business practices.

According to the company’s regulatory filing, both the Justice Department and Securities and Exchange Commission began examining allegations involving its compliance procedures, risk management framework, and related disclosures.

The report, published by Hindenburg Research, questioned aspects of Cash App’s operations, including user-account reporting and identity verification practices.

Hindenburg alleged that weak customer verification controls allowed fraudulent accounts and potentially illicit financial transactions to operate through the platform.

These allegations prompted scrutiny of whether Block had maintained appropriate safeguards against financial misconduct.

The SEC subsequently issued an additional inquiry in July 2024 as part of its examination.

However, the securities regulator informed Block in March 2026 that it had completed its investigation and did not intend to recommend enforcement action.

That decision concluded the SEC’s separate inquiry without a recommendation for regulatory penalties.

The Justice Department investigation followed a different path.

In March 2026, federal prosecutors presented Block with potential terms for resolving the matter.

Negotiations continued over the following months before both sides reached their preliminary agreement in October.

The proposed AML charge concerns Block’s alleged failure to maintain adequate compliance systems under federal banking legislation rather than a separate accusation that the company itself carried out money laundering.

This distinction is important because financial institutions can face regulatory and criminal consequences for inadequate anti-money laundering safeguards even when the underlying allegations concern failures in oversight.

Under the Bank Secrecy Act, covered financial businesses are required to maintain programs designed to identify suspicious activity, manage financial crime risks, and satisfy applicable reporting obligations.

The investigation therefore places attention on the responsibilities of financial technology companies operating large-scale payment platforms.

Three-year agreement could resolve AML charge if Block complies

The proposed deferred prosecution agreement would establish a three-year period during which Block must comply with obligations specified in the final settlement.

Deferred prosecution agreements are arrangements under which federal authorities postpone pursuing criminal charges while a company fulfills agreed conditions.

These conditions may include financial payments and compliance-related commitments, although Block has not disclosed the complete final obligations applicable to this proposed agreement.

If the company successfully satisfies the requirements throughout the three-year term, the Justice Department would seek to dismiss the deferred charge with prejudice.

Such a dismissal would prevent the same charge from being brought again under the resolved proceeding.

However, failure to comply with the agreement could expose Block to prosecution on the deferred allegations.

The company acknowledged that the outcome remains uncertain because the arrangement requires both a final agreement acceptable to the parties and court approval.

Block also stated that it could not guarantee that the AML charge would ultimately be resolved under the terms currently described.

If negotiations fail, the Justice Department could pursue further legal action.

Likewise, a breach of the conditions after approval could create additional financial or legal consequences.

For Block, the proposed settlement provides a potential route toward resolving a longstanding federal investigation while establishing a framework for continued regulatory accountability.

However, the agreement should not be interpreted as a completed settlement until the required approvals are obtained.

The difference between the $964 million gross monetary component and the $764 million anticipated payment also matters for understanding the company’s financial exposure.

The approximately $200 million difference reflects credits for prior regulatory resolutions rather than a separate reduction arising from the company’s quarterly financial performance.

The proposed arrangement therefore carries both immediate accounting implications and longer-term compliance responsibilities.

Block’s Bitcoin exposure adds context to regulatory scrutiny

The Justice Department development comes as Block continues expanding its involvement in cryptocurrency payments and blockchain-based financial infrastructure.

According to its September 30 financial statements, the company held Bitcoin investments valued at approximately $771.9 million.

Block also operates Cash App and Square, placing the business at the intersection of consumer payments, merchant services, and digital assets.

In September, the company integrated Bitcoin Lightning Network payments with x402, a payment standard designed to support transactions involving artificial intelligence agents.

The move reflects Block’s broader interest in developing infrastructure for automated digital payments.

Earlier in February, the company also announced plans to reduce its workforce by as much as 10%, reflecting organizational changes taking place alongside its technology initiatives.

These developments provide context for the company’s expanding operations, although they are separate from the allegations underlying the Justice Department investigation.

The proposed AML charge illustrates the compliance challenges facing financial technology businesses as they expand across multiple payment services and digital asset activities.

As companies introduce new products and transaction methods, regulators continue assessing whether their internal controls are adequate to identify financial crime risks.

Block’s legal disclosure also follows a separate resolution reached in July with attorneys general from several U.S. states.

That agreement involved claims concerning Cash App’s handling of customer complaints and disputes, among other matters.

The company described the financial amount associated with that settlement as immaterial.

Unlike the state-level resolution, the proposed Justice Department agreement involves a substantially larger financial commitment and a potential three-year period of federal oversight.

For investors, the settlement’s final terms could affect Block’s financial position and future compliance obligations.

Nevertheless, the company has already recorded the expected $764 million payment in its third-quarter accounts.

The final impact will depend on whether the Justice Department and Block complete the agreement as anticipated and whether the court approves its terms.

Until then, the AML charge remains an unresolved legal matter despite the preliminary settlement.

The case underscores the importance of effective financial crime controls for major payment companies, particularly those operating services that connect traditional financial transactions with cryptocurrency infrastructure.

With negotiations still pending, Block’s immediate priority is completing the proposed resolution and satisfying the requirements necessary to bring the federal investigation to a close.
